Terms of Use – Fluentime

1. Scope of Application

Provider

Fluentime is operated by Fluentime, Germany ("Fluentime"). Fluentime provides software and related services under the name "Fluentime", primarily for time tracking, scheduling, and project-based work.

Intended Users

Fluentime is intended for adult consumers and businesses.

Definitions

  • Consumer: any natural person using Fluentime predominantly outside their trade, business, or profession.
  • Entrepreneur: any natural or legal person acting for purposes relating to their trade, business, or profession.

Applicability

These Terms of Use apply to all contractual relationships between Fluentime and its users and are accepted in the version valid at the time of contract conclusion. Deviating terms apply only if expressly agreed in writing.

2. Description of Services and Contract Conclusion

Distribution Channels

Fluentime is available via:

  • the Apple App Store and Mac App Store
  • the Fluentime website at https://fluentime.io
  • additional distribution channels as made available from time to time

Use via Apple platforms may require a valid Apple ID.

Plan Types

Fluentime offers Solo plans and Team plans.

Solo Plans

Solo plans are intended for individual users managing their own time, projects, and clients.

Available Solo plans:

  • Free
  • Plus
  • Pro

The specific features and limitations of each plan are described on the Pricing page and form part of the contract.

Team Plans

Team plans are intended for collaborative work.

A Team in Fluentime consists of one or more people working together on shared projects within a single, structured workspace. All team members work with the same underlying data.

Each team always includes:

  • one Team Admin, who manages the team and subscription
  • one or more Team Members, who work within the team workspace

Responsibilities and permissions differ by role.

Team Subscription Purchase

Team subscriptions can only be purchased via the Fluentime website. Team subscriptions are not available through app stores.

Third-Party Dependencies

Certain features depend on third-party services, including but not limited to:

  • AI services powered by OpenAI
  • Cloud synchronization via Supabase (servers located in Frankfurt, Germany)
  • Bookkeeping integrations via third-party APIs (subject to availability and compatibility)

Availability of such features may vary by region, platform, or provider.

Contract Formation

A contract is concluded when:

  • an in-app purchase is completed,
  • a website checkout is completed, or
  • an offer is accepted.

App Store purchases are processed by Apple under Apple's terms. Website purchases are processed by Fluentime's payment provider.

3. Plans and Licensing

Free Plan

Provided at no charge with functional limitations as described on the Pricing page.

Paid Plans (Solo and Team)

Paid plans are offered as subscriptions with monthly or annual billing.

License Scope

Users receive a non-exclusive, non-transferable right to use Fluentime for the duration of the subscription, subject to these Terms.

Feature Changes

Fluentime may evolve over time. Material changes to paid features will be communicated with reasonable notice.

4. Duration and Cancellation

Subscription Term

Subscriptions run for the selected billing period and renew automatically unless cancelled before the end of the current term.

Cancellation – Monthly Plans

Monthly subscriptions can be cancelled at any time and will end at the conclusion of the current billing month.

Cancellation – Annual Plans

Annual subscriptions can be cancelled effective at the end of the current annual term.

No partial refunds are provided for unused portions of an annual subscription.

Management

  • App Store subscriptions are managed through the user's Apple account.
  • Website subscriptions are managed via the customer portal provided at purchase.

Effect of Cancellation

After cancellation:

  • access to paid features continues until the end of the current term
  • thereafter, the account may revert to Free plan limits where technically feasible, or become read-only if limits are exceeded

5. Prices and Payment

Pricing

Prices are shown during checkout and include applicable VAT where required by law.

App Store Payments

Payments via Apple are subject to Apple's terms and payment methods.

Website Payments

Website payments are processed by Paddle, acting as merchant of record. Paddle handles billing, invoicing, taxes, and payment processing.

Renewals

Renewal charges are applied at or before the start of each new billing period.

6. Data Storage, Sync, and Availability

Local-First Architecture

Fluentime is designed as a local-first application. Primary data is stored locally on the user's device using SQLite.

Optional Cloud Sync and Encryption

If enabled, cloud synchronization is handled via Supabase servers located in Frankfurt, Germany.

For multi-device use, Fluentime offers end-to-end encryption, ensuring that synchronized data is encrypted before transmission and can only be decrypted on the user's authorized devices. Fluentime does not have access to unencrypted user data when end-to-end encryption is enabled.

Optional Integrations

If users enable optional integrations (e.g. AI or bookkeeping), relevant data may be transmitted to third-party providers under their respective terms.

Availability

Fluentime aims for high availability but does not guarantee uninterrupted service, especially where third-party services are involved.

7. Right of Withdrawal (EU Consumers)

Website Purchases

EU consumers have a statutory 14-day right of withdrawal unless they have expressly consented to immediate digital service performance and acknowledged the loss of this right.

App Store Purchases

Refunds for App Store purchases are governed exclusively by Apple's refund policies.

8. Liability

Exclusions

Liability for damages is excluded except in cases of:

  • injury to life, body, or health
  • breach of essential contractual obligations
  • intent or gross negligence

Limitation

For simple negligence affecting essential obligations, liability is limited to foreseeable, typical damages.

9. Data Privacy

Personal data is processed in accordance with the GDPR and applicable laws.

10. Alternative Dispute Resolution (EU)

EU online dispute resolution platform:

Fluentime is neither obliged nor generally willing to participate in dispute resolution proceedings before a consumer conciliation body.

11. Choice of Law and Jurisdiction

Governing Law

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection laws remain unaffected.

Jurisdiction

Consumers may bring claims before the courts of their habitual residence. For business users, jurisdiction follows applicable statutory rules.
